Agreement between User and Bunkering at sea (BAS) Limited

Effective for all users immediately.

The following describes the terms on which Bunkering at Sea (BAS) Ltd offers you access to our sites, services, applications, and tools.

Introduction

Welcome to Bunkering at Sea (BAS) Ltd. By using Bunkering at Sea (BAS) Ltd (including www.bunkeringatsea.com and its related sites, services, applications, and tools), you agree to the following terms and the general principles for the sites of our subsidiaries and international affiliates. Regardless the place you reside you are contracting with Bunkering at Sea (BAS) Limited which owns www.bunkeringatsea.com

BEFORE SUBMITTING AN ACCOUNT REGISTRATION FORM AND/OR USING ANY OF THESE SERVICES, PLEASE READ ALL OF THIS AGREEMENT CAREFULLY. BY ACCESSING ANY AREAS OF THIS SITE, USERS ("USERS" OR "YOU") AGREE TO BE LEGALLY BOUND WITHOUT LIMITATION, QUALIFICATION, OR CHANGE AND TO ABIDE BY THESE TERMS AND CONDITIONS, WHICH WILL CONSTITUTE OUR AGREEMENT ("AGREEMENT"). If at any time you do not agree with any part of this Agreement, YOU MUST DISCONTINUE USE OF THIS SITE. Bunkering at Sea (BAS) Ltd reserves the right, in its sole discretion, to amend, modify, or alter this Agreement at any time by posting the amended terms on this Site. We recommend that you review these terms and conditions periodically. The amended terms shall be effective from and after the date that they are posted on the Site.

This Agreement is effective from 10th of November 2014, by clicking the Register button when registering a Bunkeringatsea account; accessing or using Bunkeringatsea's sites, services, applications, and tools; or as otherwise indicated on a specific site, service, application, or tool.

WITHOUT LIMITATION OF ANY OTHER PROVISIONS OF THIS AGREEMENT, YOU MAY NOT USE THIS SITE FOR ANY PURPOSE THAT IS UNLAWFUL OR PROHIBITED BY THIS AGREEMENT AND/OR ANY APPLICABLE ADDITIONAL TERMS. YOUR ACCESS TO THIS SITE MAY BE TERMINATED IMMEDIATELY IN BUNKERINGATSEA’S SOLE DISCRETION, WITH OR WITHOUT NOTICE, IF YOU FAIL TO COMPLY WITH ANY PROVISION OF THIS AGREEMENT AND/OR ADDITIONAL TERMS, OR FOR ANY OTHER REASON, or acting inconsistently with the letter or spirit of our policies OR NO REASON. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a period of months, or to modify or discontinue Bunkeringatsea site, services, applications, or tools.

Bunkering at Sea (BAS) Ltd grants you a limited, personal, nontransferable, non-sub licensable, revocable license to access and use this Site only as expressly permitted in this Agreement. Except for this limited license, we do not grant you any other rights or license with respect to this Site; any rights or license not expressly granted herein are reserved. The content and information on this Site, as well as the infrastructure used to provide such content and information, is proprietary to Bunkering at Sea (BAS) Ltd grants you a limited, personal, nontransferable, non-sub licensable, revocable license to access and use this Site only as expressly permitted in this Agreement.

Accordingly, as a condition of using this Site, you agree not to use this Site or its contents or information for any purpose that is unlawful or prohibited by this Agreement. In addition, you agree not to modify copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, services obtained from this Site.

You may only use this Site to make, offers or purchases or requests to purchase the products or services offered (each, a "Request") and shall not use this Site to make any speculative, false or fraudulent Requests or offers or any Requests in anticipation of demand. You represent that you are of sufficient legal age to create binding legal obligations for any liability you may incur as a result of your use of this Site. You agree to provide correct and true information in connection with your use of this Site and you agree to promptly update your account information (if applicable) in order to keep it current, complete and accurate. It is a violation of law to place a Request or offer in a false name or with an invalid method of payment. Please be aware that even if you do not give us your real name, your web browser transmits a unique Internet address to us that can be used by law enforcement officials to identify you. Fraudulent users will be prosecuted to the fullest extent of the law.

Bunkering at Sea (BAS) Ltd reserves the right to take any legal actions against those who suspected of having conducted transactions under fraudulent pretence.

Scope

Before you may become a member of www.bunkeringatsea.com, you must read and accept all of the terms in, and linked to, this User Agreement and the Bunkering at Sea (BAS) Ltd Privacy Policy. We strongly recommend that, as you read this User Agreement, you also access and read the linked information if any. By accepting this User Agreement, you agree that this User Agreement and Privacy Policy will apply whenever you use www.bunkeringatsea.com site, services, or applications, or when you use the tools that are made available to interact with Bunkeringatsea site and services, if any. Some Bunkering at Sea (BAS) Ltd sites, services, applications, and tools may have additional or other terms, agreements, or policies that govern their availability and use. Your use of and access to such sites, services, applications, and tools are subject to any and all terms, agreements, or policies applicable to them.

Using Bunkeringatsea

While using Bunkering at Sea (BAS) Ltd sites, services, applications, and tools, you will not:

  • violate any laws, third party rights or our policies;
  • use our sites, services, applications, or tools if you are not able to form legally binding contracts or are temporarily or indefinitely suspended from using our sites, services, applications, or tools;
  • fail to deliver payment for items purchased by you, unless the seller has materially changed the item's description after you bidding process is completed and confirmed by both parties ( seller and buyer).
  • fail to deliver items purchased from you, unless the buyer fails to meet the posted terms;
  • manipulate the price of any products;
  • circumvent or manipulate our fee structure, the billing process, or fees owed to Bunkeringatsea;
  • post false, inaccurate, misleading content;
  • take any action that may undermine the feedback or ratings systems (such as displaying, importing or exporting feedback information off of the sites or using it for purposes unrelated to circumvent or manipulate our fee structure, the billing process, or fees owed to Bunkeringatsea);
  • circumvent any Bunkeringatsea policy or determinations about your account status such as temporary or indefinite suspensions or other account holds, limitations or restrictions;
  • transfer by any manner any Bunkeringatsea application or your Bunkeringatsea account (including Feedback) and user ID to another party without our consent;
  • distribute or post spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes;
  • distribute viruses or any other technologies that may harm Bunkeringatsea, or the interests or property of Bunkeringatsea users;
  • export or re-export any Bunkeringatsea applications, or tools except in compliance with the export control laws of any relevant jurisdictions and in accordance with posted rules and restrictions;
  • copy, modify, or distribute rights or content from the Bunkeringatsea sites, services, applications, or tools or Bunkeringatsea 's copyrights and trademarks;
  • commercialize any Bunkeringatsea application or any information or software associated with such application; or
  • harvest or otherwise collect information about users, including email addresses, without their consent

Abusing Bunkering at Sea (BAS) Ltd

Bunkering at Sea (BAS) Ltd and its community of users (the "Community") work together to keep our site, services, applications, and tools working properly and the Community safe. Please report problems, offensive content, and policy violations to Bunkering at Sea (BAS) Ltd.

Without limiting other remedies, we may, in our sole discretion, limit, suspend, or terminate our services and user accounts, prohibit access to our sites, services, applications, and tools, and their content, delay or remove hosted content, and take technical and legal steps to keep users from using our site, services, applications, or tools, if we think that they are creating problems or possible legal liabilities, infringing the intellectual property rights or any other rights of third parties, or acting inconsistently with the letter or spirit of our policies (for example, and without limitation, shill bidding, conducting off- Bunkeringatsea transactions, manipulating Feedback, circumventing temporary or permanent suspensions or harassing our employees or other users). We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a period of months, or to modify or discontinue Bunkeringatsea site, services, applications, or tools.

Registration Process

To sign up for or receive any service, you must submit or maintain on file with Bunkering at Sea (BAS) Ltd certain registration data, as requested by the www.bunkeringatsea.com online registration form for the service. Such registration data shall include, but not be limited to, your name, address, email address and company name. Bunkering at Sea (BAS) Ltd reserves the right, in its sole discretion, to refuse any registration or service activation request for any reason or no reason, and shall not be obligated to provide any service to you unless and until it has received the applicable payment. It is important for you to protect against unauthorized access to your password and to your computer. Bunkeringatsea’s use of your registration information is governed by the Bunkering at Sea (BAS) Ltd Privacy Policy which is hereby incorporated into this Agreement by reference. By entering into this Agreement with Bunkering at Sea (BAS) Ltd, you assent to the terms of the Privacy Policy.

YOUR PROMISES AND OBLIGATIONS AS A CONDITION OF RECEIVING ANY SERVICES, YOU PROMISE, REPRESENT, AND WARRANT THE FOLLOWING:

  • All of the registration information you supply to www.bunkeringatsea.com is true, complete, and accurate, and you will notify Bunkering at Sea (BAS) Ltd of any changes to your registration data during the term of this Agreement and submit updated information to www.bunkeringatsea.com promptly and, in any event, within twenty (20) days of any such changes;
  • You will safeguard your account user name and password by not disclosing your password to any third party, and you will assume responsibility for any and all harm or liability attributable to you or any other person accessing your account or any services with your user name and password;
  • You will not copy, sell, redistribute, license, sublicense, or otherwise transfer your account, in connection with the Services, to any third party without Bunkeringatsea 's written consent;
  • Except as otherwise expressly permitted by Bunkering at Sea (BAS) Ltd, you will not display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer or transmit for any commercial purposes, any portion of the service, use of the service, or access to the service;
  • You acknowledge and agree that you are expressly prohibited from systematically downloading data from the website and/or utilizing any automated means to download data from this website unless otherwise allowed by Bunkeringatsea ;
  • You will comply with this Agreement and all laws and regulations governing your actions under this Agreement and the use of the service;
  • You will not use information obtained via the services or the website to send unsolicited commercial emails or "spam"; and
  • You have full power and authority to enter into this Agreement and to perform your obligations hereunder.

Accounts, Security, Passwords

You may register to utilize this Site by completing the specified registration process and providing us with current, complete, and accurate information as requested by the online registration form. It is your responsibility to maintain the currency, completeness and accuracy of your registration data, and any loss caused by your failure to do so is your responsibility. It is entirely your responsibility to maintain the confidentiality of your account. You agree to notify Bunkering at Sea (BAS) Ltd immediately of any unauthorized use of your account. Bunkering at Sea (BAS) Ltd is not liable for any loss that you may incur as a result of someone else using your account, either with or without your knowledge.

Buyers and Sellers responsibility

Buyers and sellers share the responsibility for ensuring hassle-free transactions made on www.bunkeringatsea.com while they are entirely and solely responsible for the accuracy of the registered Terms and Conditions of their companies. All claims relating to a transaction will be resolved between the Buyers and Sellers while Bunkering at Sea (BAS) Limited does not warrant that the goods are fit for the purposes of the purchaser or that they are free from any defect or vice. Bunkeringatsea (Bunkering at Sea (BAS) Limited) is simply a Mediator.

Cross-Border Trade

All our sites, services, applications, and tools are accessible to international sellers and buyers. Some www.bunkeringatsea.com members may reside outside of Cyprus and some may not speak English as a primary language.

Byers and sellers are responsible for complying with all laws and regulations applicable to the sale and shipment of oil fuel grades. The obligation of Bunkeringatsea (Bunkering at Sea (BAS) Limited) is to bring the parties to the agreement together for the purposes of entering into the agreement only.

Fees and Services

You agree to pay Bunkering at Sea (BAS) Ltd any set-up fees and recurring subscription fees for the services you select. Joining www.bunkeringatsea.com does have a charge which is dependent on the number of vessels using our sites, services, applications, and tools. Unless otherwise stated, all fees are quoted in United States Dollars. For the ship Owners, the Time Charterers, the Bareboat Charterers or any other who manages vessels, the minimum charging period is six (6) months, at a price as agreed between the parties. Some services may require a prepaid fee (“Prepaid Fee”) and will be listed with this notification. In such a case, the Prepaid Fee must be fully paid in advance, including taxes and other fees related thereto in order to receive the part of the Service or the Service as a whole requiring it. This action may be modified in Bunkering at Sea (BAS) Ltd’s sole discretion.

For the Physical suppliers or traders or Brokers the Fees are determined as the 0, 1% of the value of the final cost of the product/s delivered (additional cost excluded). Fees may change from time to time. Changes to that schedule are effective after the issuance of the respective invoice, by Bunkering at Sea (BAS) Ltd. We may choose to temporarily change the fees for our services for promotional events or new services, and such changes are effective when we post the temporary promotional event or new service on the site or in our applications. In order to avoid the full fee for any new subscription period, you must cancel the service by providing Bunkering at Sea (BAS) Ltd with a written notice of cancellation no less than thirty (30) days BEFORE the new period begins. Cancellation must be in writing (electronic mail). The cancellation is valid only upon receipt by Bunkering at Sea (BAS) Ltd. Bunkering at Sea (BAS) Ltd will send an e-mail confirming the cancellation.

Any failure to pay the amounts due under this Agreement will be a material breach of your obligations under this Agreement.

Sellers and buyers are responsible for paying all fees and applicable taxes associated with our sites, services, applications, and tools with a valid payment method by the payment due date. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms. (This includes charging other payment methods on file with us, retaining collection agencies and legal counsel.) In addition we may suspend or restrict you from using our sites, services, applications, and tools until full payment is made. Bunkering at Sea (BAS) Ltd, or the collection agencies we retain, may also report information about your account to credit bureaus, and as a result, late payments, missed payments, or other defaults on your account may be reflected in your credit report. If you wish to dispute the information Bunkering at Sea (BAS) Ltd reported to a credit bureau please contact us at info@bunkeringatsea.com. If you wish to dispute the information a collection agency reported to a credit bureau regarding your www.bunkeringatsea.com account, you must contact the collection agency directly.

Refunds

If you cancel your account or any service you acknowledge and agree that NO REFUNDS WILL BE ISSUED. If Bunkering at Sea (BAS) Ltd cancels any service for other reasons than your breach of the Agreement, Bunkering at Sea (BAS) Ltd will reimburse amounts already paid by you for the cancelled service on a pro rata basis.

Ownership Rights

You agree and understand that the services and all graphic designs, icons, HTML code, computer programming, and other elements incorporated therein are the exclusive property of Bunkering at Sea (BAS) Ltd. In addition, you acknowledge that Bunkering at Sea (BAS) Ltd owns all right, title, and interest in and to Bunkering at Sea (BAS) Ltd 's trademarks, trade names, service marks, inventions, copyrights, trade secrets, patents, technology, software, and know-how related to the design, function, or operation of the service. Your rights to the services are strictly limited to the rights expressly granted in this Agreement.

Authorization to Contact you; Recording Calls; Electronic notification

You agree to receive calls, including autodialed and/or pre-recorded message calls, from Bunkering at Sea (BAS) Ltd at any of the telephone numbers (including mobile telephone numbers) that we have collected for you as authorized and described in our Privacy Policy, including telephone numbers you have provided us, or that we have obtained from third parties or collected by our own efforts or that we may do so via any electronic means, including but not limited to communications posted on this Site or electronic mail.

If the telephone number that we have collected is a mobile telephone number, you consent to receive SMS or other text messages at that number or on that mobile device. Standard telephone minute and text charges may apply if we contact you at a mobile number or device. You agree we may contact you in the manner described above at the telephone numbers we have in our records for these purposes:

  • To contact you for reasons relating to your account or your use of our sites, services, application or tools (such as to collect a debt, resolve a dispute, or to otherwise enforce our User Agreement) or as authorized by applicable law
  • To contact you for marketing, promotional, or other reasons that you have either previously consented to or that you may be asked to consent to in the future. If you do not wish to receive such communications, you can opt-out by an electronic notification to info@bunkeringatsea.com.

We may share your telephone numbers or E-mail address with our service providers (such as billing or collections companies) who we have contracted with to assist us in pursuing our rights or performing our obligations under the User Agreement, our policies, or any other agreement we may have with you. These service providers may also contact you using autodialed or prerecorded messages calls and/or SMS or other text messages, or electronic messages only as authorized by us to carry out the purposes we have identified above, and not for their own purposes.

We will not share your telephone number or E-mail address with non-affiliated third party.

Disclaimer of Warranties; Limitation of Liability

We try to keep Bunkering at Sea (BAS) Ltd and its sites, services, applications, and tools safe, secure, and functioning properly. You acknowledge that we cannot guarantee the continuous operation of or access to our sites, services, applications, or tools. You further acknowledge that operation of and access to our sites, services, applications, or tools may be interfered with as a result of technical issues or numerous factors outside of our control. Bid updates and other notification functionality in Bunkering at Sea (BAS) Ltd.’s applications may not occur in real time. Such functionality is subject to delays including, without limitation, delays, or latency due to your physical location or your wireless data service provider’s network. You agree that you are making use of our sites, services, applications, and tools at your own risk, and that they are being provided to you on an "AS IS" and "AS AVAILABLE" basis. Accordingly, to the extent permitted by applicable law, we exclude all express or implied warranties, terms and conditions including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In addition, to the extent permitted by applicable law, we are not liable, and you agree not to hold Bunkering at Sea (BAS) Ltd responsible, for any damages or losses (including, but not limited to, loss of money, goodwill or reputation, profits, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly (but limited) from:

  • Your use of or your inability to use our sites, services and tools;
  • Delays or disruptions in our sites, services, applications, or tools;
  • Viruses or other malicious software obtained by accessing our sites, services, applications, or tools or any site, services, applications, or tools linked to our sites, services, applications, or tools;
  • Glitches, bugs, errors, or inaccuracies of any kind in our sites, services, applications, and tools or in the information and graphics obtained from them;
  • Damage to your hardware device(s) or loss of data that results from the use of our sites, services, applications, and tools;
  • The content, actions, or inactions of third parties, including items listed using our sites, services, applications, or tools, feedback provided by third parties, or the destruction of allegedly fake items;
  • A suspension or other action taken with respect to your account;
  • Bunkering at Sea (BAS) Ltd 's decision to end or remove your listing(s);
  • Your need to modify practices, content, or behavior or your loss of or inability to do business, as a result of changes to this User Agreement or our policies;

Bunkering at Sea (BAS) Ltd reserves the right to modify its policies and this User Agreement at any time consistent with the provisions outlined herein.

Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.

You acknowledge that we are not a traditional auctioneer. Bunkeringatsea (Bunkering at Sea (BAS) Limited) is simply a Mediator. Instead, our sites are venues to allow users to offer, sell, and buy fuel oil, at any time, from anywhere, in a variety of pricing formats and locations, such as fixed price formats and auction-style formats. We are not involved in the actual transaction between buyers and sellers. Any pricing, shipping or other guidance we provide in our sites, services, applications, or tools is solely informational and you may choose not to follow such guidance at any time. We do not warrant or guarantee that any particular results will be achieved from following guidance we provide (e.g. that your listing will sell etc.) and have no control over and do not guarantee the existence, quality, safety, or legality of fuel oil grades provided; the truth or accuracy of users' content or listings; the ability of sellers to sell fuel oil; the ability of buyers to pay; or that a buyer or seller will actually complete a transaction.

Regardless of the previous paragraphs, Bunkeringatsea (Bunkering at Sea (BAS) Limited) is not a party of transaction between buyers and sellers. The obligation of Bunkeringatsea ( Bunkering at Sea (BAS) Limited) is to bring the parties to the agreement together for the purposes of entering into the agreement and it does not warrant that the goods are fit for the purposes of the purchaser or that they are free from any defect or vice.

Release

If you have a dispute with one or more users, you release us (and our affiliates and subsidiaries, and our and their respective officers, directors, employees, and agents) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. In entering into this release you expressly waive any protections (whether statutory or otherwise) that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.

Access and Interference

Information on our sites is subject to constant updates and changes. Much of the information on the sites might also proprietary or is licensed to Bunkering at Sea (BAS) Ltd by our users or third parties. You agree that you will not use any robot, spider, scraper, or other automated means to access our sites for any purpose without our express handwritten permission.

Additionally, you agree that you will not:

  • take any action that imposes or may impose (to be determined in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
  • copy, reproduce, reverse engineer, modify, create derivative works from, distribute, or publicly display any content (except for your information) from our sites, services, applications, or tools without the prior express written permission of Bunkeringatsea and the appropriate third party, as applicable;
  • interfere or attempt to interfere with the proper working of our sites, services, applications, or tools, or any activities conducted on or with our sites, services, applications, or tools; or
  • bypass our robot exclusion headers or other measures we may use to prevent or restrict access to our sites.

Listing Conditions

By listing on Bunkering at Sea (BAS) Ltd.’s sites, you agree to pay Bunkering at Sea (BAS) Ltd fees and to assume full responsibility for the content of the listing and item offered. Bunkering at Sea (BAS) Ltd reserves the right to end your listing for any reason.

Purchase Conditions

Both sellers and buyers are responsible for reading the full item (Fuel Oil) listing, including any instructions the buyer or the seller provides, before making a bid or commitment to buy or before making an offer. Unless otherwise stated, by making a bid or commitment to buy or making an offer or commitment to sell on www.bunkeringatsea.com, you are committing to buy the item from the seller (Physical supplier or traders or Broker or as otherwise specified) listing the item or to sell the item to the buyer (Ship-owner or Time Charterer or Bear Boat Charterer or as otherwise specified) requesting the item (Fuel Oil), when seller’s offer/proposal is accepted/provided by the buyer (Ship Owner or Time Charterer or Bare Boat Charterer).

If you make a commitment to buy or your bid is the winning bid or is otherwise accepted, you enter into a legally binding contract with the counter party and you are obligated to purchase or sell the item (Fuel Oil) respectively. If the items are not finally purchased due to fault of the buyer (Ship-Owner or Time Charterer or Bear Boat Charterer or as otherwise specified) cancelation fees might be applied which will have pre-agreed between the seller and the buyer. Cancelation fees are specified by each Supplier or Broker or Trader during the request process and are accepted by the Ship-owner or Time Charterer or Bear Boat Charterer or as otherwise specified during the final stage of the order confirmation. If the purchase is not finalized due to fault of the seller (Bunker Physical supplier or Bunker trader or broker) , any disputes or claims will be resolved solely between the involved parties ( buyer and seller) without any involvement of the Bunkering at Sea (BAS) Ltd.

Both buyer (Ship-owner or Time Charterer or Bear Boat Charterer or as otherwise specified) and seller (Physical suppliers or Traders or Brokers or as otherwise specified) agree that the final settlement of the payment of the item or items (Fuel Oil) will be conducted directly, without the involvement of Bunkering at Sea (BAS) Ltd, since Bunkering at Sea (BAS) Limited is simply a Mediator for this purchase.

Sellers participate to auctions under the Terms & Conditions declared by them during the bidding process. Any Terms & Conditions change after buyer’s confirmation is considered as invalid & it is not part of the subject auction.

Bidding process

The bidding process begins upon initiation by the Ship Owner/Time Charterer/Bare Boat Charterer (the initiator) and it ends and the agreement is finalized when the buyer accepts seller’s offer as indicated in the respective www.bunkeringatsea.com comparison table (Home/Bunker Responses/Compare); always within the time limit (validity time) offered by the seller.

The first phase of the auction (its time duration varies, as percentage of the total auction time and is set/selected by the buyer) is used by “Supplier’, Broker’s or Trader’s operators for placing their initial proposal. During the second phase (its’ duration varies according to buyer’s selection during initial phase), the operators who participated in the first phase can update their proposals to become more competitive and have greater chances at being selected for the bunker delivery.

Seller’s proposals can be either improved as far as the price is concerned or as any other part of the offer (Credit terms, delivery day-time, Physical Supplier, cancelation fees etc.).Sellers can update/better their offered prices (even if they are not the most competitive ones) up to the lowest level achieved (lowest price level cannot be proposed twice during the second phase of the auction) while further improvement is possible as described in each of the following Bunker request options below.

During the final fifteen (15) minutes of each auction the initiator may propose their own price to the “Supplier, Broker or Trader” operators who can either place a counteroffer or maintain their previous one.

If a bid is placed during the final one (1) minute and if the subject price is lower than the lowest bidding price already submitted, an additional one (1) minute will be added to the total auction time to enable the process. If the submitted price is equal or greater than the lowest bidding price, auction time will not be extended.

The system is updated every 45’’ (forty-five seconds) to keep all involved parties well informed.

Sellers can cancel their offer any time from the beginning of the second phase till the end of the auction.

Buyers can cancel their request any time till the offer (provided by the seller) is accepted (otherwise the buyer is subject of cancelation fees as declared by the seller).

The bidding process is electronically stored for future reference.

As a Ship Owner/ Charterer or Physical supplier, Trader or Broker or as otherwise specified you agree that by entering the bidding process you will participate in one of the following Bunker request options:

Open Bunker Request

Open Bunker Request is directed to companies available and registered with Bunkeringatsea.com that have the same country base as you, as well as companies registered that are based in the country of port request, provided they are physical suppliers and operate in the specific country. Contestants are asked to give their offerings which can be improved by 0.5 to $ 2 per round. The closing price of the product (s) is finalized based on the second to last best offer reduced by $ 0,5. The Buyer can select the seller regardless the price offered (By initiating an Open Bunker request the ship operator is eligible of accepting any of the bunker offers proposed regardless the bunker price).

Direct Bunker Request

Direct Bunker Request is directed to a specific company of your choice from the list of registered companies, provided they operate in the specific country. The closing price of the product (s) is finalized based on the best price offered.

Lowest Bunker Request

Lowest Bunker Request is directed to ALL companies from your connection list, provided they operate in the specific country. Contestants are asked to give their offerings which can be improved by 0.5 to $ 2 per round. The closing price of the product (s) is finalized based on the second to last best offer reduced by $ 0, 5. The Buyer can select the seller with the best closing price offered while the platform proposes the cheapest one.

Long Term Bunker Request

Long Terms Bunker Request is directed to ALL companies from your connection list, provided they operate in the specific country. Contestants are asked to give their offerings which can be improved by 0.5 to $ 2 per round. The closing price of the product (s) is finalized based on the second to last best offer reduced by $ 0, 5. The Buyer can select the seller with the best closing price offered while the platform proposes the cheapest one. This type of auction addresses multiple bunkering needs for long term conditions.

If the bunker supply participants are nine (9) or more at the time of the initial offers, the highest 25% of the bidders will not continue to the next phase (Phase 2).In the event that more than one (1) bidder has quoted the highest price then the decision of whether or not they proceed to the next phase will be made according to the order (time) the offers were placed.

Average selling prices per fuel type per country and port

The average selling prices per fuel type per country and port are provided to the registered companies (Ship owners of any kind, bunker physical suppliers, bunker Traders or bunker brokers) at no cost. Non-registered companies may acquire the data by paying a monthly fee to BAS.

Privacy

We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We use your information only as described in the www.bunkeringatsea.com policy. We view protection of users' privacy as a very important Community principle. We store and process your information on computers located in the Netherlands that are protected by physical as well as technological security devices. You can access and modify the information you provide. We use third parties to verify and certify our privacy principles. For a complete description of how we use and protect your personal information, see the www.bunkeringatsea.com Privacy Policy. If you object to your information being transferred or used in this way please do not use our services.

Indemnity

You will indemnify and hold us (and our affiliates and subsidiaries, and our and their respective officers, directors, employees, and agents) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this User Agreement, your improper use of Bunkering at Sea (BAS) Ltd.’s sites, services, applications, or tools, and/or your violation of any law or the rights of a third party.

No Agency

No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this User Agreement.

Applicable Law

You agree that the laws of Cyprus, without regard to principles of conflict of laws, will govern the User Agreement and any claim or dispute that has arisen or may arise between you and Bunkering at Sea (BAS) Ltd, except as otherwise stated in the User Agreement.

Minors

Persons under the age of 18 are not eligible to purchase, cancel or modify any services available through Bunkeringatsea.

Additional Terms

You agree to abide by all policies posted on our sites which are part of this User Agreement and provide terms and conditions related to specific services offered on our sites. The policies posted on our sites may be changed from time to time. Changes take effect when we post them on the Bunkering at Sea (BAS) Ltd sites. When using particular Bunkering at Sea (BAS) Ltd services, applications, or tools, you are subject to any posted policies or rules applicable to services, applications, or tools you use, which may be posted from time to time. All such policies or rules are hereby incorporated into this User Agreement.

Ethics

We hereby declare that our company has a zero tolerance policy towards corruption and will not make or offer or receive, directly or indirectly, any illegal payment of any kind to or from any natural or legal person with the intention of unlawfully making or maintaining business.
We hereby declare that our company acts diligently to prevent corruption before taking any action.

Environmental

We also declare that our company proudly supports any action for the protection of the environment. BAS will donate a percentage of its profits to organizations or institutions which aim for such causes on behalf of the companies that conduct bunker transactions through www.bunkeringatsea.com.

General

Bunkering at Sea (BAS) Limited Inc. is located at Kyriakou Matsi 21 A, 1082, Nicosia, Cyprus. Unless stated otherwise in this User Agreement, if any of the provisions in this User Agreement shall be deemed invalid, void, or for any reason unenforceable, such provisions shall be deemed severable and shall not affect the validity and enforceability of any remaining provision.

We may amend this User Agreement at any time by posting the amended terms on www.Bunkeringatsea.com. Our right to amend the User Agreement includes the right to modify, add to, or remove terms in the User Agreement. Except as stated otherwise in this User Agreement or elsewhere, all amended terms shall automatically be effective when posted. The following Sections survive any termination of this User Agreement: Fees and Services, Release, Content, Disclaimer of Warranties; Limitation of Liability, Indemnity, and Legal Disputes.

Bunkering at Sea (BAS) Ltd may include your company and/or website's domain name & logo on its customer lists, testimonials and press releases related to the services. Additionally, Bunkering at Sea (BAS) Ltd may use the anonymous results of your www.bunkeringatsea.com account for displaying aggregated benchmark reports on the website and within the service. In addition, Bunkeringatsea may use anonymous and/or aggregated information for its internal research and may disclose such information to third parties.
